Alset AI's Lyken.AI Announces Non-Binding Memorandum of Understanding with Clairvoyant Holdings Inc.
Alset AI Ventures Inc. announced that its wholly owned subsidiary, Cedarcross International Technologies Inc., operating as Lyken.AI, has entered into a non-binding memorandum of understanding with Clairvoyant Holdings Inc. (CHI) for a proposed commercial collaboration in the health technology sector.
Under the MOU, dated January 28, 2026, Lyken.AI would deploy its artificial intelligence–enabled infrastructure, cloud computing, software development, and engineering capabilities across CHI’s clinical operations, digital platforms, and affiliated wellness networks. The proposed collaboration is aimed at supporting CHI’s healthcare and wellness offerings through AI-driven technology and services.
The preliminary framework outlined in the MOU envisions CHI procuring a suite of AI-enabled services from Lyken, including cloud infrastructure provisioning, data ingestion and orchestration, AI model development and deployment, workflow automation, application and API development, systems integration, and ongoing engineering, maintenance, and optimization. Silver Birch Growth Inc. would also participate by providing ecosystem development and commercialization support, including customer introductions, channel and sales advisory, and network expansion.
The parties are contemplating aggregate consideration of approximately C$1.5 million, payable by CHI to Lyken in phased installments over an expected 24-month period following the commencement of services, subject to the execution of definitive agreements. Of the amounts received, Lyken would retain roughly 65% as compensation for its technology and engineering services, with approximately 35% allocated to Silver Birch Growth for commercialization and ecosystem services. Any additional revenue-sharing or performance-based arrangements would be subject to further negotiation.
Alset AI emphasized that the MOU is non-binding and is intended to facilitate continued discussions while reducing execution risk. No party is obligated to proceed unless definitive agreements are negotiated, executed, and approved by the relevant boards and, where required, regulators or the TSX Venture Exchange. The companies do not expect any definitive agreement to take effect before June 1, 2026, and there is no assurance that such agreements will be finalized.
The companies also disclosed that the beneficial owner of CHI is currently an insider of Alset AI, meaning the proposed transaction could be considered a related-party transaction under applicable securities laws and TSXV policies. Any definitive agreement would be subject to required disclosure and approval processes.
Clairvoyant Holdings Inc. is a privately held health tech company that operates clinical services, digital platforms, and wellness networks. It owns Deer Park Wellness Inc., operating as AlignWellness.ca, and Scale Health Inc., operating as ScaleHealth.ca.
Alset AI Ventures Inc. is an AI-focused venture investment platform that invests in and develops companies across the artificial intelligence value chain, with the goal of providing investors diversified exposure to emerging AI applications and infrastructure.
